1) Who we are
These Terms of Use (“Terms”) govern your access to and use of the LocalBizUS.com website, listings directory, and related features (the “Service”). “We,” “us,” and “our” mean LocalBizUS.com, located at 226 W Palma Dr, Green Valley, AZ 85614. Contact: [email protected].
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2) Eligibility & accounts
- You must be at least 13 years old (or the age of digital consent in your jurisdiction).
- If you create an account, you’re responsible for safeguarding it and for all activity under it. Notify us promptly of any unauthorized use.
- We may refuse, suspend, or terminate accounts at our discretion.
3) Directory purpose & relationship
LocalBizUS.com is an online directory and information platform. We are not a party to transactions between users and businesses, do not endorse any listing, and do not provide professional, legal, financial, or medical advice. You are solely responsible for your decisions and due diligence.
4) Submissions: listings, profiles, media & reviews
When you submit or upload content (collectively, “User Content”)—including listings, business profiles, logos, photos, videos, descriptions, locations, and reviews—you represent and warrant that:
- You own or have all rights to post the User Content and to grant the license below.
- User Content is accurate, current, and not misleading.
- Posting the User Content does not violate law or third-party rights (privacy, publicity, IP, contract, or confidentiality).
License you grant to us. You grant LocalBizUS.com a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for formatting/display), publicly perform, publicly display, translate, and distribute your User Content on and through the Service for as long as it is available on the Service.
What you may not post. You agree not to submit content that is: unlawful, fraudulent, defamatory, threatening, harassing, hateful, discriminatory, pornographic/explicit, malware, spam, or that promotes illegal activities; or that includes private personal data of others without consent. No false, duplicate, keyword-stuffed, or lead-sale listings.
Our moderation rights. We may edit, refuse, remove, or disable access to User Content at any time for any reason (including complaints, rights notices, or policy violations) but are not obligated to do so.
5) Listings & claiming
- You must keep your listing information accurate and promptly update changes.
- “Claim listing” requires proof you’re authorized to represent the business; submitting false claims is prohibited. We may approve, reject, or later transfer a claim based on evidence provided.
6) Reviews & ratings
Reviews must reflect real experiences and comply with law. Businesses and employees may not review themselves or competitors. We may remove incentivized, off-topic, or conflict-of-interest reviews and may aggregate ratings.
7) Plans, payments & renewals (if applicable)
Some features (e.g., premium placements) may be paid. By purchasing, you agree to the pricing and terms shown at checkout. Unless otherwise stated, subscriptions auto-renew until cancelled. You authorize us to charge your payment method for the recurring fee and applicable taxes. You can cancel renewal at any time, but fees already paid are non-refundable except where required by law.
8) Acceptable use
You agree not to:
- Access the Service using bots, scrapers, or automated means without our written consent.
- Copy, crawl, or aggregate directory data except through permitted features.
- Interfere with security, integrity, or performance (rate-limit abuse, DDoS, reverse engineering).
- Send unsolicited commercial messages through our contact forms or user-to-user tools.
- Misrepresent your affiliation with a person or entity.
We may rate-limit, block, or terminate offending accounts.
9) Intellectual property
The Service, including its design, software, and content (other than User Content), is owned by us and our licensors and is protected by IP laws. You receive a personal, non-exclusive, non-transferable license to use the Service as permitted by these Terms.
10) Map & geolocation data
Map tiles, geocoding, and directions are provided by third parties (e.g., Mapbox). Location results are approximate and may be inaccurate or unavailable. Use at your own risk. Your use of maps is also subject to the third-party provider’s terms. When adding/editing a listing, always select an address from the Mapbox suggestions. Typing text and hitting Enter won’t save coordinates.
11) Third-party links & services
The Service may contain links to third-party websites or services we don’t control. We’re not responsible for their content, policies, or practices.
12) Copyright complaints (DMCA)
If you believe content on the Service infringes your copyright, send a DMCA notice to DMCA Agent, LocalBizUS.com, [email protected], 226 W Palma Dr, Green Valley, AZ 85614 including:
- Your contact info;
- Identification of the copyrighted work;
- The specific URL(s) of the allegedly infringing material;
- A statement under penalty of perjury that you have a good-faith belief the use is unauthorized;
- A statement that the information is accurate and that you’re the copyright owner or authorized agent;
- Your physical or electronic signature.
We may notify the user and remove or restore content in accordance with the DMCA.
13) Privacy
Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and share information.
14) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR AVAILABILITY OF LISTINGS, REVIEWS, MAPS, OR CONTACT/COMMUNICATION FEATURES.
15) Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID TO US IN THE 6 MONTHS PRECEDING THE CLAIM.
16) Indemnification
You agree to defend, indemnify, and hold harmless LocalBizUS.com and our officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.
17) Suspension & termination
We may suspend or terminate your access at any time, including for breach of these Terms or risk to the Service or others. Upon termination, the rights granted to you under these Terms end immediately. Certain provisions survive termination (e.g., IP ownership, disclaimers, limitations, indemnification, dispute resolution).
18) Dispute Resolution; Binding Arbitration; Class-Action Waiver
Please read this section carefully. It affects your legal rights. YOU AND LOCALBIZUS.COM AGREE TO RESOLVE MOST DISPUTES THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND TO WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.
18.1 Informal resolution first
Before filing a claim, you agree to try to resolve it informally by emailing [email protected] with “Notice of Dispute” in the subject line and a brief description of the claim along with your name, account email, and contact information. If we can’t resolve it within 30 days of receipt, either party may start arbitration or, where permitted below, proceed in small-claims court.
18.2 Agreement to arbitrate
Except for the exceptions in 18.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. A single neutral arbitrator will preside.
- Location & method. The default hearing location is Pima County, Arizona; however, at either party’s request, the arbitration may be conducted by video or telephone or solely on written submissions, as the arbitrator deems appropriate.
- Law & enforcement. This arbitration agreement is governed by the Federal Arbitration Act (FAA) and applicable federal arbitration law. The arbitrator has the exclusive authority to resolve arbitrability (including scope, enforceability, and formation), consistent with this Section.
- Fees & costs. AAA filing and arbitrator fees are allocated under the AAA Rules. Each party pays its own attorneys’ fees unless the arbitrator awards fees under applicable law or these Terms.
- Relief. The arbitrator may award individual monetary or injunctive relief that is permitted by law and necessary to provide relief for the party’s individual claim(s).
18.3 Class-action and representative-action waiver
Arbitration will be conducted only on an individual basis. YOU AND LOCALBIZUS.COM WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION, WHETHER IN ARBITRATION OR COURT. The arbitrator may not consolidate claims of more than one person or otherwise preside over any form of representative or class proceeding.
If a court decides that applicable law precludes enforcement of any part of this class-action waiver as to a particular claim, then that claim (and only that claim) must be severed and brought in court, not arbitration, and the remainder of this Section will remain in effect.
18.4 Exceptions
- Small-claims actions that qualify and are filed in a court of competent jurisdiction;
- Actions seeking injunctive or other equitable relief to protect intellectual-property or proprietary rights (e.g., unauthorized scraping, misuse of trademarks, or confidential information); and
- Any claim that cannot be compelled to arbitration as a matter of law.
18.5 Opt-out
You may opt out of this arbitration agreement within 30 days after you first accept these Terms by emailing [email protected] with the subject “Arbitration Opt-Out.” Include your full name, account email, and a statement that you wish to opt out of arbitration. Opting out does not affect other provisions of these Terms.
18.6 Jury-trial waiver
IF A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND LOCALBIZUS.COM WAIVE ANY RIGHT TO A JURY TRIAL to the fullest extent permitted by law.
18.7 Severability; survival
Except as provided in 18.3, if any part of this Section is found unenforceable, the remaining parts will remain in effect. This Section survives termination of your account and these Terms.
19) Governing law & venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Pima County, Arizona for any dispute not resolved informally or not otherwise subject to this arbitration agreement.
20) Changes to the Service or Terms
We may modify the Service and these Terms at any time. If we make material changes, we’ll notify you (e.g., by posting on the site or emailing you). Changes apply prospectively from the “Last updated” date. Your continued use means you accept the updated Terms.
